1. Introduction and Acceptance

Welcome to Posbly ("we", "us", "our"), a social media scheduling and publishing assistant designed for creators, agencies, and AI agents. Posbly provides a unified interface to publish and schedule content across multiple social media platforms simultaneously.

By accessing or using Posbly (the "Service"), you ("User", "you") agree to be bound by these Terms of Use ("Terms"). If you are using Posbly on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Posbly is a scheduling and publishing helper that allows you to:

Schedule and broadcast content to multiple social media platforms simultaneously;
Manage multiple social media accounts from a single interface;
Connect AI agents and automated workflows to handle publishing requests via our API;
Track your publishing history and usage balance.

Posbly acts solely as an intermediary tool. We do not generate, moderate, or take editorial responsibility for any content you publish. You are the publisher of record on every platform you post to.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Posbly. By using the Service, you represent that you meet this requirement. Posbly does not knowingly collect data from or permit use by minors.

4. Account Registration

You must create an account to use Posbly. You agree to:

Provide accurate, current, and complete information during registration;
Keep your credentials confidential and not share access with unauthorised parties;
Notify us immediately at support@posbly.com if you suspect unauthorised use of your account;
Be fully responsible for all activity that occurs under your account, including activity performed by AI agents you have authorised.

5. Permitted Use

Posbly is intended for legitimate content publishing purposes including:

Individual creators managing and syndicating their own content across platforms;
Agencies and social media managers handling multiple client accounts;
Businesses maintaining a presence across multiple social networks;
Developers and AI agents building publishing workflows on behalf of authorised users.

We actively support AI agent usage and have designed our API to be agent-friendly. However, it is the User's sole responsibility to control and monitor any agent operating under their account. Posbly provides a real-time usage balance tracker, and no requests will be processed beyond your available credit balance.

6. Prohibited Use

You may not use Posbly to:

Send spam, unsolicited messages, or bulk identical content in violation of any platform's rules;
Post content that is illegal, defamatory, harassing, discriminatory, or infringes on intellectual property rights;
Attempt to exploit, hack, reverse-engineer, or interfere with Posbly's systems or any connected platform's systems;
Impersonate another person, brand, or entity;
Manipulate platform engagement metrics (e.g., fake followers, likes, views) through our Service;
Use automated means to exceed the rate limits or API quotas of any connected social media platform;
Circumvent platform authentication, access controls, or security measures;
Post content that violates the specific rules of any connected social media platform (see Section 10).

Violations of this section may result in immediate account suspension or termination.

7. Content Responsibility

Posbly is a technical publishing tool. We do not review, approve, or take responsibility for any content you publish through our Service. By publishing content via Posbly:

You confirm you hold all necessary rights, licences, and permissions to publish that content;
You acknowledge that publishing through Posbly is subject to the Terms of Service, Community Guidelines, and Developer Policies of each connected platform;
You remain solely responsible for compliance with all applicable laws, including copyright, data protection, advertising standards, and defamation law;
You acknowledge that Posbly logs request metadata (timestamps, platform targets, post identifiers, account references) for operational, safety, and compliance purposes. See our Privacy Policy for details.

When you use Posbly to post to a social media platform, you are confirming you have already accepted and continue to comply with that platform's terms and conditions.

8. Pricing, Credits, and Billing

8.1 Usage-Based Pricing

Posbly does not operate a free tier or monthly subscription. You purchase credits and are charged per successful post only.

If you broadcast to multiple platforms and some deliveries fail, you are only charged for the platforms where publication was successful.
Failed deliveries due to platform errors, rate limits, or content rejections are not charged.

8.2 Credits

Credits are purchased in advance and deducted upon successful post delivery.
Credits are non-refundable under any circumstances.
Credits remain valid for 12 months from the date of purchase.
Any credits not used within 12 months will expire automatically.

8.3 Promotional Credits

Promotional or bonus credits may be granted at our discretion.
Promotional credits are subject to their own specific terms, expiry dates, and usage conditions as communicated at the time of issue.
Promotional credits may not be combined with other offers unless explicitly stated.

8.4 Usage Limits and Balance

You may only submit requests up to your available credit balance.
Once your balance reaches zero, all requests will be blocked until you purchase additional credits.
We provide a real-time balance tracker in your account dashboard and via API.
If you are using AI agents or automated workflows, it is your responsibility to monitor consumption and ensure sufficient balance.

8.5 Special Plans

We offer custom plans for users with high-volume needs, enterprise requirements, or special circumstances. To enquire, contact support@posbly.com.

9. Scheduling and Media

9.1 Scheduling Window

You may schedule posts up to 30 days in advance. Posts cannot be scheduled beyond this window.

9.2 Media Storage

All media files (images, videos, documents) uploaded for scheduled posts are stored temporarily on our servers.
Media is automatically deleted within 24 hours after the associated post is successfully published or permanently cancelled.
You are responsible for retaining your own copies of any media you upload.

10. Platform-Specific Rules and Limits

Posbly integrates with the following social media platforms. By using Posbly to publish to these platforms, you agree to comply with each platform's own Terms of Service, Community Guidelines, and Developer Policies, which may change independently of Posbly. Posbly actively monitors these platforms and will notify users of material changes where possible; however, platform policies are outside our control.

A summary of key rules and limits applicable at the time of this document is provided below for your reference. These are not exhaustive. Always consult each platform's official documentation.

10.1 Meta — Facebook & Instagram

Governing policies: Meta Terms of Service, Meta Platform Policy, Instagram Community Guidelines, Meta Developer Policies.

Posbly uses the Meta Graph API. All publishing is subject to Meta's permissions and App Review processes.
You must hold all necessary rights for any content you post. Meta requires that you comply with their Community Standards and do not post content that is violent, hateful, or sexually exploitative.
Spam is strictly prohibited. Posting identical or substantially similar content in a repeated or automated manner that violates Meta's policies will result in Posbly blocking your request.
Instagram requires a Business or Creator Account and a linked Facebook Page for API-based publishing. Personal accounts are not supported for third-party scheduling.
Meta enforces its own rate limits at the API level. Posbly will not attempt to circumvent these limits.
Meta may change, restrict, or revoke API access at any time. Such changes may affect the availability of Posbly's Facebook and Instagram integration.
Character limits: Facebook posts up to approximately 63,206 characters (feed); Instagram captions up to 2,200 characters.
Instagram supports up to 30 hashtags per post; excessive or spammy hashtag use may result in platform-side restrictions.

10.2 X (formerly Twitter)

Governing policies: X Developer Agreement and Policy, X Rules and Policies, X Automation Rules.

The X API prohibits using developer tools to create spam or engage in platform manipulation. Services that perform write actions must follow X's Automation Rules.
You must never post identical or substantially similar content across multiple X accounts simultaneously. X's policies explicitly prohibit this behaviour.
You must not use automated posting to artificially amplify or coordinate engagement.
X enforces strict rate limits on its API. Posbly complies with these limits. Attempts to exceed them will result in requests being blocked.
Character limit: 280 characters per post (standard accounts). X Premium subscribers may have extended limits.
Automated accounts (bots) must be clearly identified as such per X policy.

10.3 Threads (Meta)

Governing policies: Threads Terms of Use, Meta Community Standards.

Threads is subject to Meta's broader Community Standards.
Spam, coordinated inauthentic behaviour, and mass-posting of identical content are prohibited.
Character limit: 500 characters per post.
Threads API access is subject to Meta's developer approval processes.

10.4 TikTok

Governing policies: TikTok Developer Terms of Service, TikTok Community Guidelines, TikTok Developer Guidelines.

TikTok explicitly prohibits using the API for spam, denial-of-service attacks, or any unauthorised commercial solicitation.
Artificial boosting of engagement (fake followers, views, likes) via automation is strictly forbidden by TikTok's Community Guidelines.
You must respect TikTok's API throttling limits. Posbly complies with these and will not process requests that would exceed them.
TikTok reserves the right to deprecate APIs and change integration requirements. Posbly will update its integration accordingly and notify users of disruptions.
Only content you have the rights to publish may be uploaded. TikTok enforces intellectual property rules strictly.
Video caption limit: 2,200 characters. Hashtag use: TikTok recommends a maximum of 5 focused, relevant hashtags per post.
A Business or Creator Account is required for API-based content publishing.
TikTok may restrict or revoke API access. This is outside Posbly's control.

10.5 YouTube

Governing policies: YouTube Terms of Service, YouTube Community Guidelines, YouTube API Services Terms.

You must comply with YouTube's Community Guidelines, which prohibit spam, misleading content, and content that violates copyright.
The YouTube Data API is subject to quota limits assigned by Google. Posbly will operate within your assigned quota and will not attempt to circumvent them.
Posting the same video to YouTube repeatedly, or engaging in coordinated inauthentic activity, violates YouTube's spam policies.
Videos must comply with YouTube's advertiser-friendly guidelines if monetisation is intended.
Video description limit: 5,000 characters. Title limit: 100 characters.
Copyright-protected content uploaded without proper licences or permissions will be subject to YouTube's Content ID system. Posbly is not responsible for copyright strikes or content removals.

10.6 Bluesky

Governing policies: Bluesky Terms of Service, Bluesky Community Guidelines (AT Protocol).

Bluesky is built on the open AT Protocol (Authenticated Transfer Protocol). Content published through Posbly to Bluesky is publicly accessible and indexable by design.
Spam, malicious content, and coordinated manipulation are prohibited under Bluesky's Community Guidelines.
Posbly will not facilitate mass posting, bot-like behaviour, or automated harassment through the Bluesky integration.
Character limit: 300 characters per post.
Bluesky's policies continue to evolve in compliance with global regulations including the EU Digital Services Act and the UK Online Safety Act.

10.7 Pinterest

Governing policies: Pinterest Terms of Service, Pinterest Developer Guidelines, Pinterest Community Guidelines.

Content published to Pinterest must comply with their Community Guidelines, which prohibit spam, misleading content, and content that infringes intellectual property rights.
Pinterest's API requires adherence to their spam policies. Mass-pinning identical content across boards or accounts is prohibited.
Pinterest enforces rate limits on its API. Posbly complies with these limits.
Pin descriptions: up to 500 characters.
You must have the rights to all images and links associated with pins you publish through Posbly.

10.8 LinkedIn

Governing policies: LinkedIn User Agreement, LinkedIn Professional Community Policies, LinkedIn API Terms.

LinkedIn prohibits spam, unsolicited messaging, fake profiles, and artificial boosting of content or connections.
The LinkedIn API is subject to strict access controls. Publishing is only permitted for authorised use cases under LinkedIn's developer terms.
You may not use Posbly to post misleading, promotional, or off-topic content that violates LinkedIn's Professional Community Policies.
Post character limit: 3,000 characters.
LinkedIn enforces its own rate limits on API calls. Posbly operates within these constraints.

11. Monitoring and Platform Changes

Posbly actively monitors all integrated social media platforms for changes to their APIs, policies, and rate limits. We will make reasonable efforts to:

Notify users of significant platform changes that may affect the Service;
Update our integrations to maintain compatibility;
Block requests that would violate updated platform policies.

However, social media platforms can change their rules, APIs, and rate limits at any time and without notice. Posbly cannot guarantee uninterrupted service on any particular platform. We are not liable for service disruptions, content failures, or account restrictions caused by changes made by third-party platforms.

12. Enforcement and Account Suspension

12.1 Violations

Posbly reserves the right to suspend or terminate your account if you:

Violate these Terms of Use;
Violate the terms or policies of any connected social media platform in a way that affects our integration or standing;
Engage in spam, platform manipulation, or abusive usage;
Provide false information in connection with your account;
Attempt to exploit, circumvent, or attack our systems or any connected platform.

12.2 Notice and Right to Respond

Where a potential violation is identified:

We will notify you by email to the address on your account.
You will be given a reasonable period (no less than 7 days, except in cases of immediate and serious harm) to respond and present your case.
Failure to respond within the allotted time will be treated as an acceptance of the enforcement action, including any suspension or termination.

12.3 Immediate Suspension

In cases involving immediate and serious harm, active exploitation of our systems, or serious violations of platform policies that put our integrations at risk, Posbly reserves the right to suspend access immediately without prior notice. We will still notify you and provide an opportunity to appeal.

12.4 Appeals

To appeal an enforcement action, contact support@posbly.com within 30 days of notification.

13. Third-Party Integrations

Posbly supports integrations with third-party automation platforms including, but not limited to, Make.com (formerly Integromat) and similar services. When using Posbly through third-party integrations:

The same Terms of Use apply as when accessing Posbly directly;
You are responsible for configuring third-party automations correctly and within your credit balance;
Posbly is not responsible for errors, costs, or consequences caused by misconfigured third-party workflows.

14. Intellectual Property

All content, trademarks, logos, and technology associated with Posbly are the property of Posbly or its licensors. You may not reproduce, distribute, or create derivative works from any Posbly materials without our express written consent.

You retain ownership of all content you publish through Posbly. By using the Service, you grant Posbly a limited, non-exclusive licence to process and transmit your content solely for the purpose of delivering the Service.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

The Service will be uninterrupted, error-free, or available at any particular time;
Posts will be delivered successfully to every platform at every time;
The Service will meet your specific requirements.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Posbly shall not be liable for:

Any indirect, incidental, consequential, or punitive damages;
Loss of revenue, profits, data, or business opportunities;
Damages resulting from third-party platform changes, API restrictions, or content removal decisions made by social media platforms;
Actions taken by AI agents or automated workflows you have authorised under your account.

Our total aggregate liability to you shall not exceed the amount you paid to Posbly in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Posbly, its officers, employees, agents, and affiliates from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your use of the Service;
Content you publish through the Service;
Your violation of these Terms;
Your violation of any third-party rights or platform policies.

18. Account Deletion

You may request deletion of your account and personal data at any time by emailing privacy@posbly.com. Upon receipt of a valid request, we will:

Deactivate your account promptly;
Delete your personal data in accordance with our Privacy Policy and applicable law;
Note that operational logs may be retained for a limited period for compliance and security purposes as described in the Privacy Policy.

Any unused credits at the time of account deletion are non-refundable.

19. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by email or by posting a notice within the Service. Continued use of Posbly after the effective date of revised Terms constitutes acceptance of the new Terms.

20. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the competent courts of the jurisdiction in which Posbly operates.
